1. Agreement to Terms
By accessing or using our services (the “Services”), you agree to be bound by these Terms and Conditions (the “Terms”). If you do not agree with any part of these Terms, you must not use our Services.

2. Services Provided
Medtechboss provides Services as detailed on our website. The scope of Services may be updated periodically, and you are responsible for reviewing any changes.

3. Data Ownership Clause

3.1. Definition of Data:
“Data” refers to any and all information, records, databases, and files generated, collected, or processed during the course of the Services, including but not limited to personal data and analytical data.

3.2. Ownership Rights:
All Data generated and collected pursuant to these Terms shall remain the sole and exclusive property of Medtechboss.
Medtechboss retains all rights, title, and interest in and to the Data.

3.3. License to Use:
Medtechboss grants you a limited, non-exclusive, non-transferable license to use the Data solely for the purposes outlined in these Terms, which does not include the right to sell or distribute the Data without written consent from Medtechboss

4. Service Level Agreement (SLA)

4.1. Availability of Services:
Medtechboss aims to provide 99.9% uptime for our Services, excluding scheduled maintenance and unforeseen outages.

4.2. Support Response Time:
We commit to addressing support requests within the following timeframes:

• Critical Issues: Response within 1 hour

• High Priority Issues: Response within 4 hours

• Medium Priority Issues: Response within 1 business day

• Low Priority Issues: Response within 2 business days

4.3. Remedies for Non-Compliance:
In the event that we fail to meet the service levels outlined in this SLA, you may be eligible for credits applied to future service fees, as detailed in our Credit Policy.

5. Confidentiality and Security Clause

5.1. Confidential Information:
Both parties acknowledge that during the course of performing the Services, they may have access to confidential information. This includes but is not limited to business plans, technical data, and user information.

5.2. Obligations of Confidentiality:
Each party agrees to:

• Keep all Confidential Information confidential and not disclose it to any third party without the prior written consent of the owner of that information.

• Use the Confidential Information only for the purposes of fulfilling obligations under these Terms.

5.3. Security Measures:
Both parties agree to implement reasonable security measures to protect confidential information from unauthorized access, disclosure, or misuse.

5.4. Legal Obligations:
In the event that either party is required by law to disclose confidential information, they must provide written notice to the other party prior to such disclosure to allow the other party to seek a protective order or other appropriate remedy.

6. Limitation of Liability
In no event shall Medtechboss be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our Services.

7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Singapore without regard to its conflict of law principles.

8. Changes to the Terms
Medtechboss reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website, and your continued use of our Services constitutes acceptance of those changes.
